3.2.1 to 3.3.1 Issues, Seeking kind help

I tried to search the documents, forum and open google search but no luck so i had to open a new question.
please help to solve this.
I had been using the classipress for long time.
till the 3.2.1 it went well with the Upgrade Plugin and i never had to face issues.
but when i tried to upgrade from 3.2.1 to 3.3.1 this doesn't work at all. front end and back end(admin) are totally blank. when again revert it to any older version it words well.

I tried a clean install of 3.3.1 on an other directory same thing happens.
when i try to test the stuff on local host(both on linux LAMP and/or WAMP windows 7) the fresh install of 3.3.1 from the latest download it gives broken design on front end but proper admin end.
please help me what is wrong?
My online server is Linus based which supported this all the way well and even supporting the 3.2.1 very nice.
and yes i am using most latest word press version.

and if there is any guideline/tutorial that how to upgrade the version on local host?
