1. Can I installed it to my friend/client?
2. Let's say I have bought one of theme here, then 3 or 6 months later i decide to upgrade to be member of club. Then you count my membership from the time when I bought one theme or after I upgrade for the next 1 year membership?

In answer to your questions:

1. Yes you can develop a site for a client using the theme, however note that you cannot resell the theme itself. The client also does not automatically become an AppThemes customer (they would need to purchase their own license in order to receive theme updates and support).
