Also, what do you mean that it "doesnt" come with the psd photoshop files?

Hello,

This means that the Developer's edition includes all the graphic files and layouts (PSD format) and you will be able to modify them and work on top of them.For instance if you want to create a new theme based on the default you can open the PSD files and change colors, position of the elements etc.

Yes you can upgrade anytime you like.
