I'd like to build web directory system with classipress, do I have buy one licence for each client or I can buy Ultimate Edition?

The Ultimate edition licences allow for ClassiPress to be installed on multiple web sites, including WPMU support.. So yes, this is an ideal package for a developer, medium-large business, or a consultant who has several clients.

Are you referring to the footer credits? With the Ultimate licence, you don't have to keep these intact.

hi, Im also interested in ultimate ed to run a WPMU, but I dont understand yet how the license works with MU

Do i have the right to offer my clients their own clasipress store located at whatever.mydomain.com and charge them to use it?
or is just a license granting the rights to multi installs only owned and managed by me?

basically, I only interested in ultimate edition but I first need to know clearly what is allowed and whats not.

My general feel from reading the purchase agreement is that you can't "resell the code" but you can resell the service as one you provide. So yes, you would be able to charge customers for classifieds websites. Until they figure out that Classipress exists and stop using the services lol.
