Upgrade 1.2.1 to Current (1.4.2)

Hello,

I am the new webmaster of a website that is running JobRoller Version 1.2.1 I was wondering what is the best way to go about upgrading to the current version of the theme.

I have the full version of the theme downloaded and ready to push but I would like to know if there is a best practice on making the change and what things I should consider doing before making the change.

I don't see any patches that will allow a change from 1.2.1 all the way to 1.4.2 so I am assuming that I will just have to replace the theme.
Will it be best for me to start with a clean install of WP? Or is it best to use the current install of WP.
