How to update from classipress 3.2.1 to classipress 3.3 versions

Hello:

Could you please tell me step by step How to update from classipress 3.2.1 to classipress 3.3 versions.

I have few queries also there:

i) If i update from WP control panel's Theme menu, Does it plainly update my all previous files (3.2.1) in same directory or should i install it in different directory?
ii) What pre caution I have to take before update ?
iii) Should i remove first my previous version (Classipress 3.2.1) ?
iv) Does my database and data will be intact ?

Kindly note, I have already purchase 2 plugins (Related Ad and Mobile version) from wprabbits.com site. Does these 2 plugins will work after the update ?

With above all these i am bit confuse to update. Please help me.
